Terms and Conditions

These Terms and Conditions, together with our Privacy Policy, form the binding agreement (“Agreement”) between you and ESL Ready (operated by Professional Language Services) concerning your account and subscription on https://eslready.org. By registering an account, purchasing a subscription, or otherwise using our services, you confirm that you have read and understood these Terms and Conditions and the Privacy Policy, and that you accept and agree to be bound by them. If you do not agree, you must not access or use the website or its services.

Definitions

Capitalised terms in these Terms and Conditions have the meanings defined below. The terms apply in both singular and plural forms.

  • Country: Germany.

  • Company (also “We,” “Us,” or “Our”): ESL Ready, operated by Professional Language Services, Sudetenstr. 102, 85567 Grafing / Munich, Germany.

  • Service: The digital content (lesson plans) available on the Website provided to users with an Account.

  • Subscription: Your paid or free access to the Service on a subscription basis.

  • Terms: These Terms and Conditions, together with the Privacy Policy, forming the full agreement between You and the Company regarding the Service.

  • Device: Any device that can access the Service, such as a computer, phone, or tablet.

  • Feedback: Any comments, ideas, or suggestions You provide about the Service.

  • Website: ESL Ready operated by Professional Language Services, available at https://eslready.org.

  • You: The individual using the Service.

Accepting Terms

These Terms and Conditions govern your use of the Service and form the agreement between You and the Company. They outline the rights and responsibilities of all users concerning the Service.

Access to and use of the Service are subject to your acceptance of, and compliance with, these Terms and Conditions. They apply to every individual who uses or accesses the Service.

To use the Service, You must be over 18 years old, as the Company does not allow anyone under 18 to use the Service. Your access also requires acceptance of and compliance with the Company’s Privacy Policy. This Policy explains how We collect, use, and disclose your personal information when You use the Service, describes your privacy rights, and details how the law protects you. Please review the Privacy Policy carefully before using the Service.

Permitted Use of the Service

When you access the Service, a copy of its content is temporarily downloaded to your device. Provided you are eligible to use the Service and subject to these Terms and Conditions, the Company grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, worldwide, revocable license to:

  • Access, read, view, download, and print a single copy of text and images available on the Website (including forms intended for printing),

  • Make photocopies for distribution only to your own students,

  • Use the materials for personal, non-commercial purposes, or for conducting a business providing English language lessons using the Service materials.

This license applies solely to devices you own or control (computers, tablets, mobile devices, etc.) and is subject to the rules of device manufacturers, app stores, or platforms. The license remains valid for the duration of the Agreement.

This license is granted solely to you and cannot be assigned, transferred, or sublicensed to anyone else. Except as expressly allowed above, you may not:

  • Use the Service for other commercial purposes,

  • Include Service content in products you create or distribute,

  • Copy the Website or its content to your or any other website.

You must adhere to all copyright and proprietary notices. Use of the Service does not transfer ownership or other rights to you. You may only use the Service as expressly permitted in these Terms and Conditions and under applicable law.

The Service may not be modified, copied, distributed, forwarded, framed, reproduced, republished, uploaded, incorporated, transmitted, sold, or exploited in any form, in whole or in part, without prior written permission from the Company, except as expressly allowed here or under copyright law. Any unauthorised use is strictly prohibited.

You agree to use the Website in a manner consistent with its intended purpose, in compliance with German law, and in accordance with social and ethical standards, as well as these Terms and Conditions.

User Accounts

When You create an Account, You must provide accurate, complete, and up-to-date information at all times.

You agree to keep your password confidential and must notify Us immediately if You become aware of any security breach or unauthorised use of your Account.

Your username may not:

  • Be the name of another person or entity,

  • Include a name or trademark subject to the rights of others without proper authorisation, or

  • Be offensive, vulgar, or obscene.

Individual Accounts may not be used by schools, commercial companies (as defined under the German Commercial Companies Code), or other collective entities.

The Company may impose a contractual penalty of EUR 1,000 for each breach if an individual Account is misused by such entities. If the actual damage exceeds this amount, the Company reserves the right to claim further compensation.

You must promptly inform Us using the contact details provided if You believe your personal information, Account credentials, or other personal data have been compromised, disclosed, or stolen.

Termination of the Agreement by You

You may cancel your Subscription at any time by disabling its renewal before the start of the next subscription period, either through your Account settings or by contacting the Company. In this case, the cancellation will take effect at the end of the current Subscription period. Fees already paid for the current period are non-refundable, and you will retain access to the Service until the end of that period.

You also have the right to delete your Account (terminate this Agreement) at any time. If you choose to delete your Account, you acknowledge that fees for the current Subscription period will not be refunded, and your access to the Service will end immediately, without the ability to use it for the remainder of the current period.

Termination of the Agreement by the Company

The Company may terminate this Agreement (cancel your Subscription and delete your Account) giving you at least 30 days’ notice if We are unable to provide the Service due to circumstances beyond Our control, for example, changes in applicable laws that require Us to adapt the Service), or if We decide to discontinue the Service due to changes in Our statutory business. We will notify you using the contact information in your Account and provide the reason for termination.

If termination occurs before the end of your paid Subscription period, We will provide a pro rata refund of the Subscription fee, reflecting the remainder of the period and your usage of the Service.

Additionally, the Company may terminate this Agreement with at least 5 days’ notice if you fail to pay the fee for the next Subscription period.

Terminating the Agreement with Immediate Effect

The Company may terminate this Agreement immediately (cancel your Subscription and delete your Account) if any of the following occurs:

  1. Violation of Terms – You breach any of the following sections: Permitted Use of the Service, Intellectual Property, Rights Regarding Content on this Website – All Rights Reserved, or United States Legal Compliance.

  2. Age Restriction – You are under 18 years old.

  3. Illegal Use – You use the Service in violation of any law.

  4. Violation of Others’ Rights – You infringe on the personal rights of others, including sharing personal data without consent, defaming, or harming the reputation of users or third parties.

  5. Harm to the Company – You act in a way that damages the Company’s interests, including attempts to intercept data, gain unauthorised access, or violate fair competition rules.

  6. Interference with Service – You engage in actions that disrupt the Service, such as hacking, bypassing security, overloading infrastructure, sending spam, or spreading viruses.

  7. Intellectual Property Violations – You violate copyright or other intellectual property rights of the Company or third parties, or fail to comply with license terms.

  8. Unauthorised Commercial Use – You use the Service commercially, except for conducting a business providing English language lessons with materials from the Service.

  9. Account Misuse – You share your Account (unless allowed under a separate agreement), use multiple Accounts to bypass restrictions, provide false registration information, impersonate others, or attempt fraud.

  10. Prohibited Entities – An individual Account is used by a school, commercial company (as defined under the German Commercial Companies Code), or any collective entity.

The Company may also decline to create an Account or approve a Subscription if, during prior use of the Service, you have engaged in any of the actions described above.

We will inform you of the termination using the contact details provided in your Account. The notice will state the reason for termination and explain your right to appeal. The procedures set out in the section “Disputes and Complaints” apply correspondingly to this right of appeal.

Prices

Users are informed during the purchasing process and before submitting the order, about any fees, taxes and costs that they will be charged when purchasing a Subscription. The prices listed are final consumer prices (VAT included where required by law). At checkout, the system will automatically adjust VAT depending on your location. If you are outside the EU, no VAT will be charged.

Payment Methods

Details of the payment methods accepted are provided during the checkout or purchasing process.

Certain payment methods may be subject to additional terms, conditions, or fees. Information regarding these requirements is available in the relevant section of the Website.

All payments are processed exclusively through third-party payment providers. The Website does not collect or store payment information, such as credit card details, and only receives confirmation once the payment has been successfully completed.

If a payment is declined, fails, or is otherwise not processed by the payment provider, the Company is under no obligation to fulfil the order. Any costs, fees, or charges resulting from such failed or declined payments are your responsibility.

Subscription Period

Access to certain parts of the Service requires a paid Subscription. Subscriptions are billed in advance on a recurring basis—either monthly or annually—depending on the plan you select at the time of purchase.

Your Subscription will automatically renew at the end of each period under the same terms, unless you cancel the renewal before the start of the next period (see “Termination of the Agreement by You”) or the Company cancels it under the sections “Termination by the Company” or “Termination with Immediate Effect.”

  • Monthly Subscriptions renew automatically each month on the renewal date, unless cancelled.

  • Annual Subscriptions renew automatically each year on the renewal date, unless cancelled. You will receive a notification 30 days before the annual renewal, indicating the end date of the current period and your option to cancel before the next period begins.

Access to our Service is valid only while the Subscription is active.

Billing

You are required to provide the Company with complete and accurate billing details, including your full name, address, state, postal code, and a valid payment method. These billing details are important as they are used to calculate the correct VAT rates for your country of residence.

Your Subscription will automatically renew at the end of each billing cycle according to the Subscription plan you selected (monthly or yearly) unless you cancel the renewal. This means that after the initial period, the Subscription will continue on a recurring basis corresponding to your chosen plan, unless terminated.

By not cancelling the renewal before the start of the next Subscription period, you authorise the Company to charge the fee for the upcoming period (monthly or annual, depending on your plan) using the payment method you supplied.

Fee Changes

The Company reserves the right to adjust Subscription fees. You will receive reasonable prior notice of any fee changes, at least 30 days in advance.

Fee changes will take effect at the start of the next Subscription period following the date of the change. If you do not accept the new fees, you may reject them by cancelling your Subscription before the changes take effect. Continuing to use the Service after the updated fees come into effect indicates your agreement to pay the revised Subscription amount.

Refunds

If you are eligible for a refund after terminating your Subscription, the Company will return the funds using the same payment method used for the original payment, unless you and the Company agree to an alternative method.

Intellectual Property

All content, features, and functionality of the Service (excluding content provided by You or other users) are and will remain the sole property of the Company. Purchasing a Subscription does not grant you any intellectual property rights, including copyrights or proprietary rights, over the materials included in the Subscription.

Subscribers may only share the materials with their own students within a private and secure environment and must not make the materials publicly available in their original or modified form.

The Service is protected by copyright, trademark, and other intellectual property laws both domestically and internationally. Company trademarks and trade dress may not be used in connection with any product or service without prior written permission from the Company.

All intellectual property rights in the content on this Website are owned and fully reserved by the Company. You may use the content only as necessary for the proper use of the Service.

You are not permitted to copy, download, share (beyond the exceptions below), modify, translate, adapt, publish, transmit, sell, sublicense, edit, transfer, assign, or create derivative works from the content on the Website, nor allow any third party to do so through your access or devices.

Where the Website explicitly allows it, you may download, copy, or share certain content for personal and non-commercial purposes only—except for commercial use related to providing English language lessons using materials from the Service—provided that all copyright notices and other required attributions are retained.

Any legal limitations or exceptions to copyright shall continue to apply.

Giving Feedback

Any feedback, suggestions, ideas, or other information (“Feedback”) that you provide to the Company regarding the Service is not confidential. By submitting Feedback, you grant the Company the unrestricted, royalty-free, worldwide right to use, reproduce, modify, adapt, publish, translate, distribute, and otherwise exploit such Feedback for any purpose without obligation or compensation to you.

The Company may use Feedback in any form, including incorporating it into the Service or other products, without any acknowledgment or compensation to the provider of the Feedback.

Liability

The Company is liable for any damages You incur only to the extent permitted by applicable law. This includes statutory limitations and exclusions of liability under local law.

The Company shall not be liable for any failure to perform, delayed performance, or improper performance of its obligations under these Terms if such failure is caused by circumstances beyond the Company’s reasonable control, including but not limited to

  • Natural disasters or extreme weather conditions,

  • Acts of war, terrorism, or civil unrest,

  • Strikes, labour disputes, or shortages,

  • Interruptions or failures of internet or telecommunications services,

  • Government actions, or

  • Any other event commonly recognised as force majeure.

Governing Law and Place of Jurisdiction

These Terms and Conditions and your use of the Service shall be governed and interpreted exclusively in accordance with the laws of the Federal Republic of Germany, to the exclusion of its conflict-of-laws provisions. The place of jurisdiction is Munich, Germany.

For European Union Users
If you are a consumer living in the European Union, you are entitled to the mandatory legal rights provided under the laws of your country of residence.

For United States Federal Government Users
If you are a U.S. federal government end user, the Service is considered a “Commercial Item” as defined in 48 C.F.R. §2.101.

United States Legal Compliance
You confirm that (i) you are not located in a country under a U.S. government embargo or identified by the U.S. government as supporting terrorism, and (ii) you are not on any U.S. government list of restricted or prohibited parties.

Waiver

Except as stated in these Terms, not exercising a right or not requiring performance of an obligation does not prevent a party from exercising that right or requiring performance later. Likewise, waiving a breach does not mean waiving any future breach.

Changes to Terms

We may update these Terms and Conditions from time to time. If we make material changes that affect your rights or obligations, we will notify you in advance by email using the address associated with your account. The updated Terms will take effect on the date specified in the notice. For minor updates (such as clarifications, corrections, or improvements that do not materially affect your rights), we will simply update the version published on our website. The most recent version of the Terms, together with the date of the last update, will always be available on our website.

If you do not accept the amended Terms, you may reject them by deleting your Account before they take effect.

Continuing to use our Service after the changes become effective means you agree to the revised Terms. If you delete your Account and end the Agreement before your paid Subscription period expires, we will provide a pro rata refund of the Subscription fee, based on the unused portion of your Subscription and your use of the Service.

Disputes and Complaints

You may submit complaints in any of the following ways:

  • through the contact form available on our Website.

If we receive a complaint and have your email address, we will confirm receipt by email. We will respond to your complaint within 14 days of receiving it.

If you are a resident of the European Union, you may also make use of alternative dispute resolution procedures or other out-of-court settlement mechanisms available in your country of residence. In addition, you may use the European Online Dispute Resolution platform operated by the European Commission at https://ec.europa.eu/consumers/odr. You also have the right to submit complaints to your local consumer protection authority, regulatory body, or arbitration body.
